The Rhode Island Department of State charges $150 to file Articles of Organization (Form 400). The figure comes straight from statute, R.I. Gen. Laws ยง 7-16-65(1). File on paper or through the RI Business Services Online Filing System; online submissions carry a small enhanced access fee collected by the RI.gov portal vendor rather than the state, so treat $150 as the state fee and expect the online checkout total to run slightly above it.
What Rhode Island Charges Every Year
Two recurring obligations, and the second one surprises people:
- Annual report, Form 632: $50 per year. Filed with the Department of State between February 1 and May 1. A $25 penalty attaches June 1 if it is late.
- Minimum annual tax: $400 per year. Owed to the RI Division of Taxation regardless of income, even in a year with no activity.
